Terms of Use

Effective date: 21 August 2026

These Terms of Use (“Terms”) outline the rules and regulations for the use of the website available at www.stagefront.in (“Platform”), including on all web browsers and any other devices as made available by the Company. The Platform is a free online directory that allows various performing artists to create and publish profiles, and allows event managers and other users to discover and directly contact such artists, and to provide such other services as may be introduced / informed by the Company through its Platform or otherwise from time to time (“Services”).

The following terminology applies to these Terms, the Privacy Policy and all other agreements found on the Platform: “User”, “visitor”, “you” and “your” refers to you, the person logging on / accessing the Platform, and/or the user of the Services, and/or compliant to the Company’s terms and conditions. “Company”, “ourselves”, “we”, “our(s)” and “us”, refers to our Company i.e. STAGEFRONT TECHNOLOGIES LLP, a limited liability partnership firm incorporated under the Limited Liability Partnership Act, 2008, having its registered office at 5 Rajiv CHS Ltd., Flat No. 18, Bandra Kurla Complex, Opp. RBI, Bandra East, Mumbai – 400051, Maharashtra, India. For the purpose of these Terms, User and Company shall hereinafter be collectively referred to as “Parties” and individually as “Party”. Any use of the above terminology or other words in the singular, plural, capitalization, and/or he/she or they, are taken as interchangeable and therefore as referring to same.

These Terms will govern the relationship between the Parties and sets forth the terms and conditions by which you may access and use the Platform and our Services and any content that Users make available on the Platform. For the purpose of these Terms, “Content” shall mean any profile information, photographs, videos, links, descriptions, pricing information or other material uploaded by a User and/or made available on the Platform.

Further, these Terms along with all our other policies and regulations (as available on the Platform) constitutes valid and binding agreement between you and the Company. The present Terms, which shall form a binding agreement upon the Users, are produced in the English language. The present Terms in English, i.e. the original language, shall take precedence over any translation of the present Terms along with all other policies and resources provided herewith.

By accessing or using the Platform and/or the Services, you accept to be bound by these Terms including our other policies (including without limitation our Privacy Policy). Discontinue the use of this Platform if at any point you do not agree to or accept all of the present terms and conditions which are subject to amendment from time to time. It is hereby strongly advised that you read the present document carefully, as continuing to use our Services would entail an unequivocal consent to all the terms and conditions mentioned herein in these Terms. If you do not agree to these Terms, you are not entitled to avail of / use the Platform or the Services and any use thereafter shall be unauthorised.

By signing up for or using the Service, you acknowledge that you are 18 or over and can legally contract under the Indian Contract Act, 1872 and agree to the Terms. Save for the parental/guardian involvement described under ‘Age Restrictions’ below, minors are not permitted to hold an artist / talent or event manager account on the Platform.

1. ACCEPTING THE TERMS

You can accept the Terms by accessing or using our Services and/or the Platform. You understand and agree that we will treat your access or use of the Services and/or the Platform as acceptance of the Terms from such usage onwards.

By accessing or using our Services, you confirm that you form a binding contract with the Company, and agree to comply with the conditions and provisions of these Terms as well as our other policies including without limitation our privacy policy available at www.stagefront.in (“Privacy Policy”). Your access to and use of our Services is further subject to our Privacy Policy and all other policies on the Platform as released and/or amended from time to time which can be found directly on the Platform, and are incorporated herein by reference.

If you are accessing or using the Services on behalf of a business or entity (for instance, as an event manager acting for your organisation), then (a) “you” and “your” includes you and that business or entity, (b) you represent and warrant that you are an authorised representative of the business or entity with the authority to bind the entity to these Terms and that you agree to these Terms on such entity’s behalf, and (c) your business or entity is legally and financially responsible for your access or use of the Services as well as for the access or use of your account by others affiliated with your entity, including any employees, agents or contractors.

You hereby represent and warrant that the details provided by you (including without limitation your name, city, contact details, price range and description) are not fraudulent and are completely true. The Company reserves the right to take necessary actions against you as may be available under the applicable laws in the event any such information provided by you is false and/or true and correct information is intentionally not furnished to the Company. Access to certain Services or features of the Services may be subject to age restrictions and may not be available to all users of the Platform.

2. AMENDMENT TO THE TERMS

With the aim to ensure that the Platform is deployed in the most effective and efficient manner possible, the Company reserves the right to amend / modify / change / revise these Terms or any part thereof from time to time at its sole discretion. You should look at the Terms regularly to check for such changes. We will also update the “Last Updated” date at the top of these Terms, which reflect the effective date of such amended Terms. Notwithstanding anything contained herein, your continued access or use of the Services and/or Platform after the updated effective date of any revised Terms or part thereof constitutes your acceptance of such revised Terms. If you do not agree to the revised Terms, you must stop accessing or using our Services and/or Platform.

3. AGE RESTRICTIONS

Save and except in case of a business entity / corporate entity with independent legal status, you must be at least 18 (eighteen) years of age to hold an account on the Platform. The Company does not knowingly permit persons below the age of 18 to register an account. Where a performing act listed on the Platform involves a minor performer, the account and profile must be created and controlled solely by the minor’s parent or legal guardian, who shall be responsible for all information, Content and communications relating to that listing. If required by the Company, such minor’s parent or legal guardian should produce valid documents to establish their relationship with the minor. In the event the Company has reason to believe that the status of the minor has not been disclosed and/or the information given by the parent or the legal guardian is fraudulent, the Company reserves the right to immediately delist and deactivate the account and further reserves the right to report such actions to the appropriate authorities.

4. NATURE OF THE PLATFORM; ROLE OF THE COMPANY

The Platform is a discovery directory. The Company hosts profiles created by various artists / talents and makes such profiles searchable so that other Users can find and directly contact the respective artists. That is the entirety of the Company’s role.

THE COMPANY IS NOT A BOOKING AGENT, TALENT AGENCY, EVENT MANAGEMENT COMPANY, EMPLOYER OR MANAGER OF ANY ARTIST, AND IS NOT A PARTY TO ANY ENGAGEMENT, BOOKING, NEGOTIATION, CONTRACT, PAYMENT OR PERFORMANCE BETWEEN AN ARTIST AND AN EVENT MANAGER OR ANY OTHER USER. The Company does not verify, endorse, represent, guarantee, background-check, or take responsibility for any artist, talent, event manager, listing, or communication made available on or through the Platform.

Where an event manager contacts an artist / talent (including over WhatsApp or any other channel), any resulting conversation, quotation, negotiation, agreement, booking, payment, cancellation, performance and outcome is strictly between those Users and the Company has no involvement in, and accepts no responsibility or liability for, the terms of any such engagement, the conduct of either party, the quality, timeliness or delivery of any performance, any payment or non-payment, any dispute, or any loss, injury or damage arising from any such engagement.

The Platform is presently free of charge and the Company does not charge any commission, fee or cut on any booking or engagement facilitated through the Platform, as further described under ‘Fees’ below.

By using and accessing the Platform, you hereby agree and acknowledge that:

  • The Company only hosts profiles. It does not create, arrange, guarantee, supervise or participate in any booking or engagement.
  • The Company is not a party to any deal, contract or communication between an artist / talent and an event manager or between any other Users.
  • The Company takes no commission and is not paid out of, and has no financial interest in, any booking.

5. YOUR ACCOUNT WITH US

To access and use certain Services, you must create an account with us on the Platform. When you create this account, you must provide accurate and up-to-date information about yourself, including without limitation your name (including any stage/act name), city and cities of operation, act category, price range, contact number and email address. It is important that you maintain and promptly update your details and any other information you provide to us, to keep such information current and complete. The present Terms are also accessible to you on the Platform at all times.

Sign-in to the Platform is without a requirement of any password. When you sign in, we send a one-time password (“OTP”) to your registered email address (or such other verification method as we may adopt). You are responsible for keeping access to your registered email account secure, and for any activity that occurs through your account, whether or not authorised by you. We shall not be liable under any circumstance for your account being accessed by any third party as a result of your failure to secure your registered email account or other verification method.

You agree and undertake that you are responsible for any activity that occurs through your account. By allowing others to access your account, you agree that such individuals are acting on your behalf and that you are bound by any actions / inactions made by such person. We can terminate your account or place your account on hold in order to protect you, the Company or our Users from identity theft or other fraudulent activity. If you know or suspect that any third party has accessed your account without your consent, you must notify us immediately at hello@stagefront.in.

We will collect some of your personal information for creating your account with us, the details of which can be accessed in our Privacy Policy, it is recommended that you peruse all legally binding documents before creating an account and availing our Services. Once you have created and/or accessed your account or used the Services, it shall constitute an acceptance of the present Terms and any other allied policies including our Privacy Policy.

We further reserve the right to, at any time and at our own discretion, remove, rename, reassign, cancel or ask to change any user account name, tag, related imagery, or links whenever deemed appropriate by us. This may be done by us with or without notice and with no obligation to give a reason for such actions.

If you no longer want to use our Services and would like your account deleted, you can send an email to the Grievance Officer (as detailed in Section 12 below) by stating the reason for such request and the Grievance Officer will provide you with further assistance and guide you through the process for the deletion of your account. It is pertinent to note that once you choose to delete your account, you will not be able to reactivate your account, and your published profile will no longer be visible to the Users.

Please note that certain Services or features may not be available to a User who has not created an account on the Platform. Notwithstanding anything, these Terms will still apply to any User accessing the Platform without an account.

Without limiting the foregoing, you hereby agree, undertake and acknowledge that by creating an account on the Platform, the Company makes no representation or guarantee that a User’s profile will generate any enquiry, booking, or business outcome. Having a profile on the Platform is not a substitute for the User’s own marketing, and the Company shall not be liable for any loss of business, opportunity, or income arising from low visibility, absence of enquiries, or another User’s decision not to engage a particular Artist.

6. FEES

Stagefront is a free, listing-only directory. Artists create profiles at no cost, and event managers browse and contact artists at no cost. The Platform is currently free of charge for its Users.

The Company does not process any payment between an artist / talent and an event manager, and does not take any commission, fee or cut on any booking or engagement. Stagefront is only an intermediary that hosts listings and helps event managers discover artists. When an event manager and an artist decide to work together, they deal with each other directly and all negotiation, booking, fees, advances, deposits, cancellation terms, and payments for an actual performance or engagement are entirely between the artist and the event manager, without any recourse or liability of the Company.

The Company may, in the future, introduce optional paid plans or features (for example, for artist / talents seeking additional visibility). Any such plan will be offered under separate, additional terms presented to you at that time, and no charge will apply to your existing free account or listing unless you expressly opt in to a paid plan. Statements made in the Company’s marketing or promotional material with regards to the pricing / fees describes the Company’s current pricing policy and is not a contractual guarantee against future changes.

As of the effective date of this policy, the Company does not collect any payment from users and does not run any payment gateway. As a result, there is nothing to refund and no paid subscription to cancel. If someone claims you owe the Company money to use the current service, the same could be a fraudulent claim and you should immediately report it to us at hello@stagefront.in. You hereby agree and acknowledge that at no point in time would the Company be liable to refund any monies to you and/or be liable for any payment made by you to any third-party.

7. USER CONTENT / ARTIST PROFILES

Users of the Services, in particular artist / talents, may make available content on the Platform by way of photographs, videos, descriptions, pricing information and other material for communication with the Company and/or other Users of the Service (“User Content”). You must ensure that your User Content, and your conduct, comply with the acceptable use terms set forth in this Terms of Use. The information and materials in the User Content have not and will not be independently verified or approved by us. The views, claims and information expressed by a User through the Services do not represent our views or values, and the Company makes no representation as to their accuracy. The Company may (but is not obligated to) monitor your account, content, and conduct, regardless of your privacy settings. We may, in our sole discretion, remove or limit access or availability to any User Content or account that we consider in good faith to violate this policy. Further, You should bear in mind that circumstances change and that information in the content that may have been accurate at the time of uploading that content will not necessarily remain so.

In general, you shall not use our Services in any manner that is illegal with respect to the laws in force in your region as well as the laws of India and further including any use that we, in our sole discretion, deem to be illegal, inappropriate, harmful to our reputation, or in violation of the legal or contractual rights of the Platform or any third party. These Terms sets forth examples of certain prohibited conduct, but such examples are for purposes of illustration and do not limit our right to deem other conduct to be in violation of the present Terms. You warrant that any contribution/ User Content that does not comply with acceptable standards will lead to the termination of your account and you will be liable to us and shall further indemnify and keep indemnified and hold harmless the Company for any breach of these Terms including without limitation any such warranty. You will be solely responsible for any loss or damage we suffer as a result of your breach of these Terms or any such act.

The Company, in its sole discretion, has the right to strike your account for such reasonable period as it may deem fit (“Strike-Down Period”), in case of any violations brought to its notice. In the event, the Company in its sole discretion determine that there is no violation by you, your account shall be restored by the Company. Further the Company reserves the right to take-down any content against which any violation / claim has been received by the Company. You hereby agree and understand that the Company’s decision in such events shall be final and binding.

I. Content Restrictions

As a condition of use of the Services, You promise not to use the Service for any purpose that is prohibited by these Terms. You are responsible for all of Your activity in connection with the User Content and/or use of the Platform and/or the Services. You shall not upload any content which may be construed as illegal, offensive, defamatory, including but not limited to the following:

  • Infringes any copyrights or other rights (e.g., trademark, privacy rights, etc.) of any other third-party;
  • Is sexually explicit or promotes sexual services;
  • Is defamatory, derogatory, obscene, pornographic, paedophilic or invasive of another’s privacy, including bodily privacy;
  • Is harassing or abusive;
  • Contains hateful or discriminatory speech;
  • Promotes or supports terror or hate groups;
  • Contains instructions on how to assemble explosive/incendiary devices or homemade/improvised firearms;
  • Exploits or endangers minors;
  • Depicts or encourages self-harm or suicide;
  • Depicts (1) unlawful real-world acts of extreme violence, or (2) animal cruelty or extreme violence towards animals;
  • Contains false or misleading claims that have a serious potential to cause public harm;
  • Violates any applicable law of the country wherein the Services are being utilised.
  • misrepresents your identity, skills, availability, pricing or the nature of your act.

II. Code of Conduct

In using our Services, you shall not:

  • use an offensive text, screen name or profile image (e.g., containing nudity);
  • Act in a deceptive manner or impersonate any person or organisation;
  • Harass or stalk any person;
  • Harm or exploit minors;
  • Distribute “spam” in any form or use misleading metadata;
  • Collect personal information about others;
  • Use or export any of our Services in violation of any Indian laws and/or laws of the country wherein the Services are being utilised;
  • Engage in any unlawful activity;
  • Cause or encourage others to do any of the above.
  • As an event manager, contact an artist / talent for any purpose other than a genuine, lawful enquiry connected with engaging talent, or send harassing, threatening, unlawful, misleading or unsolicited bulk/marketing communications to any artist / talent.

III. Prohibited Technical Measures

You shall not:

  • scrape, reproduce, redistribute, create derivative works from, decompile, reverse engineer, alter, archive, or disassemble any part of our Services and/or Platform; or attempt to circumvent any of our security, rate-limiting, filtering, or digital rights management measures;
  • Submit any malicious program, script, or code;
  • Take any other actions to manipulate, interfere with, or damage our Services.
  • Scrape, crawl, harvest, compile, store, resell or otherwise misuse artist / talent contact details (including WhatsApp numbers) or any other Platform data, whether by automated means or otherwise, or use such data to build a competing database or directory.

IV. Restricted Users

You shall not create or maintain an account if you are a member of any terror or hate group or any such organisations. Further, you may not create or maintain an account if you are (a) located in a country that has been designated by the Indian Government as a terrorist-supporting country; or (b) listed on any Indian Government list of restricted parties. In all other cases, if you discover any content that infringes or violates any of your other rights, which you believe is defamatory, pornographic, obscene, racist, or otherwise liable to cause widespread offence, or which constitutes impersonation, abuse, spam, or otherwise violates these Terms and/or any other policies of the Company and/or any applicable law, please report this to us at hello@stagefront.in.

V. Use of your Content

You hereby grant the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt (solely for formatting, resizing and display purposes), publish and distribute the User Content you upload, solely for the purposes of (i) operating and displaying your profile on the Platform; (ii) making your profile discoverable to event managers through search, browse and similar directory features; and (iii) reasonable promotion of the Platform’s directory (for example, in aggregated or category-level marketing) that does not misrepresent your Content. This licence ends when you delete the relevant Content or your account, except for copies retained for a limited period in routine backups or as required by law. You further grant the Company a royalty-free licence to use your name/stage name, profile image and act description to identify you as the source of your User Content on the Platform. You must not post any User Content on or through the Platform or transmit to the Company any User Content that you consider to be confidential or proprietary.

8. STAGEFRONT’S CONTENT

The Platform, including its design, layout, text, graphics, logo, and software, and any content specifically provided by the Company (as distinct from User Content) is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws, as applicable, and is owned by or licensed to the Company. You shall abide by and maintain all copyright notices, information, and restrictions contained in any such Content accessed through the Services.

Acceptance of these Terms in no way enables or allows you to copy, or modify the Platform, any part of the Platform, our trademarks, or any other intellectual property in any way. No term or document available on our Platform, including these Terms, allows you to extract the source code of the Platform, and you are also barred from translating the Platform into other languages or making derivative versions. The Platform itself, and all the trademarks, copyright, database rights, and other intellectual property rights related to it, belong exclusively to the Company and are at no time waived through any terms, policies, or documents provided on our Platform.

9. INTELLECTUAL PROPERTY

We respect and uphold all intellectual property rights and expect you to do the same. As a condition of your access to and use of the Services and/or the Platform, you agree not to use the Services and/or any Content on the Platform to infringe any intellectual property rights which do not belong to you unless you have express permission from the proprietor of such intellectual property. We reserve the right, with or without notice, at any time and in our sole discretion to block access to and/or terminate the accounts of any user who infringes or is alleged to infringe any copyrights or other intellectual property rights of any third-party. If you discover any Content on the Platform that you believe infringes yours or any third-party’s intellectual property rights including copyright, please report the same to us (“Infringement Notice”) using any of the methods outlined on our Platform.

If you would prefer to send us your own written notification, please make sure that you include the following information:

By submitting an Infringement Notification, you acknowledge and agree that the Company may forward your Infringement Notification and any related communications to any users who posted the material identified in such notice.

  • a statement that you have identified Content on Platform that infringes your copyright or the copyright of a third party on whose behalf you are entitled to act;
  • a description of the copyright work(s) that you claim have been infringed;
  • a description of the Content that you claim is infringing and the link to the Content on the Platform where such Content can be located;
  • your full name and telephone number, a valid email address on which you can be contacted;
  • a statement by you that you have a good faith belief that the disputed use of the material is not authorised by the copyright owner, its agent, or the law; and
  • a statement by you that the information in your notice is accurate and that you are authorised to act on behalf of the owner of the exclusive right that is allegedly infringed.

10. TRUST AND SAFETY

The Company may review reported profiles, photographs, videos or other Content published on the Platform so as to investigate any complaints regarding violations of these Terms, in order to provide a safe directory for all Users and to combat illegal and harmful conduct or content. If we receive a complaint, we will review the relevant Content to determine whether a violation has occurred, and will retain the same as long as reasonably necessary to investigate the potential violation. We try hard to make sure the Platform is a safe place for all users, and we expect you to do the same. By using our Services and/or the Platform, you agree that you will comply with these Terms and any other policies we make available in order to maintain the safety of our users and the Services. We reserve the right to remove any Content from our Platform for any reason, or to limit its availability. We likewise reserve the right to terminate or suspend your account, or limit its availability.

11. REPORTED ACCOUNTS/USERS

Once any user’s Account is reported to us, we may temporarily suspend such account until the matter is assessed and resolved and the user is given an opportunity to respond to the complaint made against their account, which response shall be recorded for any future claims or references. A specific scale has been assigned to such reporting methods for assessing the period of suspension and the degree of seriousness required to deal with it.

You hereby agree and acknowledge that any examples given on the Platform or in our internal policies of conduct warranting suspension or removal are merely indicative in nature and do not form an exhaustive list of offences for which an account may be suspended or any action taken by the Company against such user.

You shall be solely responsible for any form of interaction with another user over the Platform, including any engagement, booking, negotiation, payment or dispute arising from such interaction. Any discrepancy, issue or complaint arising out of such interaction, if not of the nature described in these Terms as within the Company’s remit, shall be resolved by the Users themselves. We have and hold no obligation to intervene or set right such matters, however, this in no way takes away our right to resolve such matters at our discretion, without invoking any responsibility or liability.

Where a serious or repeated breach of these Terms has resulted in the removal of an account, the Company may also block the re-registration of the same person or identity on the Platform.

12. GRIEVANCES

As an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Company will acknowledge and act on valid complaints and lawful orders within the timelines prescribed under applicable law. For any complaints relating to the processing of your personal data, please refer to the grievance redressal mechanism described in our Privacy Policy.

  • Please submit any Content-related concerns, complaints or grievances to the Grievance Officer named below.
  • The Grievance Officer is Ms. Hasina Udaipurwala and can be contacted at grievance@stagefront.in
  • You will be required to furnish relevant details pertaining to the concern, complaint or grievance, including your name, email ID, the profile or listing in question, the nature of the grievance, and any supporting screenshots or evidence.

13. RETENTION OF RECORDS

You agree that the Company shall be entitled to retain user information and user registration records, in order to comply with any obligations due under applicable law, for a reasonable period prescribed under the law. During such period the data and user information shall not be made available to any other Users and/or be used for any purposes other than for the respective compliances under applicable laws.

14. YOU MUST NOT

You as the user hereby expressly agree that you shall not:

  • Republish any material and/or Content that is accessible on the Platform, other than sharing your own profile link for its intended purpose.
  • Sell, rent or sub-license any material and/or Content from the Platform.
  • Reproduce, duplicate, copy, exploit, etc., in any manner whatsoever, our material from our Platform.
  • use any trademarks, service marks, design marks, logos, photographs, or other Content belonging to the Company or obtained from the Platform;
  • gain unauthorised access to the Services and/or Platform, to other user’s accounts, names, or personally identifiable information, or to other computers or websites connected or linked to the Services and/or Platform.
  • engage in unauthorised spidering, “scraping,” or harvesting of Content or personal information, or use any other unauthorised automated means to compile information.
  • Post any virus, worm, spyware, or any other computer code, file, or program that may or is intended to disable, overburden, impair, damage, or hijack the operation of any hardware, software, or telecommunications equipment, or any other aspect of the Service or communications equipment and computers connected to the Service;
  • assist or permit any person in engaging in any of the activities described above.

This Platform enables Users to publish profile Content (including photographs, videos, pricing and descriptive information). The Company does not filter, edit, verify or review such Content prior to its presence on the Platform. Content published by a User does not reflect the views, opinions or endorsement of the Company, its agents, and/or affiliates. To the extent permitted by applicable law, the Company shall not be liable for any Content, or for any liability, damages, or expenses caused and/or suffered as a result of any use of and/or making available of and/or appearance of the Content on the Platform. The Company reserves the right to monitor Content and to remove any Content which it considers inappropriate, offensive, or in breach of these Terms.

15. WARRANTIES AND REPRESENTATIONS

You as the user of the Platform hereby expressly represent and warrant that:

  • You are of required age and have full power and absolute authority to accept these Terms, which shall form a binding agreement between you and us. In the event a listing relates to a minor performer, you undertake that the minor’s parent/legal guardian has read these Terms and has accepted the same, and controls the account, as described under ‘Age Restrictions’ above.
  • You are free from any third-party obligation to post the User Content on our Platform and have all necessary licences, authorisations, consents, releases, etc. to do so;
  • You will use the Services and/or Platform always in compliance with these Terms and all applicable laws;
  • The Content does not infringe any intellectual property right, including without limitation copyright, patent or trademark of any third party;
  • The User Content does not contain any material which invades the privacy of any person;
  • You will provide accurate, current and complete information about yourself (including, without limitation, your name/stage name, city, price range, contact details and account information), and you will not provide false information, and you shall not impersonate or appear to impersonate anyone else or otherwise misrepresent your affiliation with any person or entity;
  • You will abide by all copyright notices, information, and restrictions contained in or associated with the Services and/or the Platform.
  • You will not do anything that is likely to adversely affect or reflect negatively upon or harm the goodwill or reputation of the Company or any of its affiliates or group companies, or the Platform.
  • You agree that the Company shall be under no liability whatsoever to you in the event of non-availability of the Services and/or Platform or any portion thereof occasioned by Act of God, war, disease, revolution, riot, civil commotion, strike, lockout, flood, fire, failure of any public utility, man-made disaster, or any other cause whatsoever beyond the control of the Company.
  • If you are an event manager, you will contact artist / talents only for genuine, lawful purposes connected with engaging talent, and any engagement you enter into with an artist / talent is your own responsibility, and not that of the Company, as further described under ‘Nature of the Platform’ above.

16. TERMINATION OF ACCOUNT

Our business may change over time and we reserve the right to change or discontinue any Service, in whole or in part, and to terminate your access to and use of the Platform or Service at our discretion without notice. If you no longer wish to use our Services and/or the Platform, you can delete / terminate your account at any time without giving us any notice. As the Platform is presently offered free of charge, no question of refund arises; if paid plans are introduced in future, refund terms (if any) will be set out in the separate terms governing such plans. If you breach the provision of these Terms or any other policy such as the Privacy Policy, we may, at our option and as per the provisions of these Terms, terminate, suspend, delete, or limit access to your account, and, where the breach is serious or repeated, block your re-registration on the Platform. Once your account has been terminated either by you or us, any and all data residing in your account or pertaining to activity from your account will be deleted by us, except to the extent that we are obliged or permitted to retain such Content, data or information for a certain period of time in accordance with applicable laws and regulations and/or to protect our legitimate business interests.

17. MODIFICATION AND TERMINATION OF SERVICES

We are improving our Services and creating new ones all the time. That means we may add or remove features or functions of our Services, and we may also suspend or stop providing our Services. We may take any of these actions at any time for any reason, and when we do, we may not provide you with any notice beforehand. The Company may terminate or suspend this license and your access to our Services and/or Platform at any time, with or without cause or notice to you. The Company may also limit your use of specific features in our Services with or without cause or notice to you. While we’ll try to give you reasonable notice beforehand, we can’t guarantee that will be possible in all circumstances. For example, we may deactivate your account due to prolonged inactivity, and we may reclaim your username at any time for any reason. If you violate any provision of these Terms and/or our other policies, your authorisation to access our Services and/or Platform terminates automatically. Regardless of who terminates these Terms, you will continue to be bound by these Terms.

18. INDEMNIFICATION

You agree to indemnify and hold harmless the Company and/or its assigns, affiliates and their respective officers, directors, employees, representatives, licensees, authorised designees, successors and assigns (“Indemnified Personnel”) from any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable legal fees and costs) that such Indemnified Personnel may incur as a result of or arising from (i) any of your User Content; (ii) the breach of any of your warranties, representations, covenants, responsibilities or other obligations set forth in these Terms; (iii) your violation of any person’s intellectual property, privacy, publicity or other right; (iv) the violation of any applicable laws of any country wherein the Platform is being used by you and/or these Terms by you and/or anyone using your registered account to access and/or otherwise use the Platform (in whole or in part); (v) any engagement, booking, negotiation, communication, dispute or transaction between you and another User of the Platform, including an event manager or an artist / talent, as the case may be; or (vi) your wilful misconduct or the wilful misconduct of anyone accessing the Platform through your registered account, in connection with your (and/or such other person’s) use of the Platform (in whole or in part). We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences. This provision shall remain in full force and effect notwithstanding any termination of your use of the Services and/or Platform.

19. LIMITATION OF LIABILITY

Nothing in these Terms shall exclude or limit our liability for losses that may not be lawfully excluded or limited by applicable law.

Subject to the paragraph above, we shall not be liable to you for:

  • any loss of profit (whether incurred directly or indirectly);
  • any loss of goodwill;
  • any loss of opportunity;
  • any loss of data suffered by you; or
  • any indirect or consequential losses which may be incurred by you.
  • your inability to access or use the Platform or any part thereof, or to access any Content;
  • any changes that the Company may make to the Platform or any part thereof, or any temporary or permanent suspension or cessation of access to the Platform or any Content in or from any or all territories;
  • any action taken against you by third party rights-holders with respect to any alleged infringement of such third party’s rights relating to your use of the Platform, or any action taken as part of an investigation by the Company or any relevant law enforcement authority regarding your use of the Platform;
  • any errors or omissions in the Platform’s technical operation, or from any inaccuracy or defect in any Content or any information relating to Content;
  • any misconduct by other Users or third parties using the Platform, especially in breach of the agreement;
  • any loss or damage to any computer hardware or software, any loss of data (including your Content), or any loss or damage from any security breach.
  • Any other loss will be limited to INR 5,000/- (Indian Rupees Five Thousand Only).

You release us from all liability relating to your connections, engagements and relationships with other Users. You understand that we do not, in any way, screen users, nor do we enquire into the backgrounds of users or attempt to verify their backgrounds, skills, availability or statements. We make no representations or warranties as to the conduct of users or the veracity of any information users provide. In no event shall we be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to your conduct or anyone else’s in connection with the Services, including, without limitation, any damages resulting in any way from any engagement, booking, communication or meeting with a User you may otherwise meet through the Services. As such, You agree to take reasonable precautions and exercise the utmost personal care in all interactions and dealings with any individual or entity You come into contact with through the Services, particularly if You decide to meet such individuals in person or enter into a paid engagement with them.

The Platform is intended to be used, and is expected to be used, by event managers and artist / talents for commercial event-booking purposes; nothing in these Terms restricts such commercial use. In no event does the Company assume any responsibility or liability whatsoever for any Content, or for any booking, engagement or transaction between Users, and you agree to waive any legal or equitable rights or remedies you may have against the Company with respect to the same.

20. THIRD PARTY CONTENT

For any third party content (“Third Party Content”, including artist / talent profiles and any material uploaded by Users), the Company’s role is limited to providing a communication platform along with hosting services to third parties, to enable the transmission of the Third Party Content directly from third parties to You. The Third Party Content on the Platform is directly uploaded onto the Platform by third parties who avail of our hosting services, without any intervention from us in the uploading / transmission process. You hereby acknowledge that the Company’s role is that of an ‘intermediary’ as defined under the Information Technology Act, 2000 and the rules thereunder, with regard to the Third Party Content. Being an intermediary, the Company has no responsibility and/or liability in respect of any Third Party Content on the Platform, including for intellectual property rights infringement, defamation, obscenity or any other violation under applicable law.

21. THIRD-PARTY LINKS AND SERVICES

The Platform relies on and links to third-party services, in particular WhatsApp, through which enquiries between event managers and artist / talents are conducted. WhatsApp is operated by a third party and governed by its own terms and privacy policy, which the Company does not control and is not responsible for. Any communication between Users conducted over WhatsApp or any other channel takes place outside the Platform and is not monitored, recorded or controlled by the Company.

Our Services and/or the Platform may otherwise contain links to third-party websites, services or content that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products or services. If you access any third-party website, service or content from our Platform, you do so at your own risk and you agree that we will have no liability, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or access to any such third-party website, service or content. The Platform does not currently display third-party advertising; should this change, this clause will be updated accordingly.

22. ASSIGNMENT TO THIRD PARTIES

The Company may assign its rights and (where permissible by law) its obligations under these Terms, in whole or in part, to any third party at any time without notice, including without limitation, to any person or entity acquiring all or substantially all of the assets or business of the Company. You may not assign these Terms or the rights and duties hereunder, in whole or in part, to any third party without our prior written consent.

23. DISCLAIMERS

OUR SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN “AS-IS” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE TAKE NO RESPONSIBILITY AND ASSUME NO LIABILITY FOR CONTENT THAT YOU OR ANY OTHER USER OR THIRD PARTY POSTS OR TRANSMITS USING OUR SERVICES AND/OR PLATFORM. WE DO NOT WARRANT THAT ANY USER, ARTIST OR EVENT MANAGER IS GENUINE, SKILLED, AVAILABLE, RELIABLE OR SUITABLE, OR THAT ANY LISTING OR PROFILE IS ACCURATE, CURRENT OR COMPLETE, OR THAT ANY ENGAGEMENT WILL BE ENTERED INTO OR SUCCESSFULLY PERFORMED. YOU AGREE AND ACKNOWLEDGE THAT YOU MAY BE EXPOSED TO CONTENT THAT IS INACCURATE OR OBJECTIONABLE. THE LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT DISCLAIM ANY WARRANTY OR OTHER RIGHT THAT WE ARE PROHIBITED FROM DISCLAIMING UNDER APPLICABLE LAW. THE COMPANY, AND ITS TEAM, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUPPLIERS, PARTNERS AND CONTENT PROVIDERS DO NOT WARRANT THAT: (A) THE SERVICE WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE WEBSITE, SERVICE AND CONTENT IS SOLELY AT YOUR OWN RISK. SOME STATES/COUNTRIES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

24. ADULT-ORIENTED LISTINGS

Some listings on the Platform may relate to adult-oriented acts and will be marked “18+”. Such listings are intended only for viewing and engagement by Users above the age of 18. You must not access, view, or engage with 18+ listings if you are under 18. The Company is responsible only for correctly flagging a listing as 18+ where the artist / talent has disclosed this; the Company does not otherwise verify, rate or classify the content of any listing, and the artist / talent remains solely responsible for ensuring their Content and description are accurate and lawful.

25. SEVERABILITY

Should one or more provisions of these Terms be found to be unlawful, void or unenforceable under any law that is applicable hereto or if any court of competent jurisdiction in a final decision so determines, these Terms shall continue in force save that such provision shall be deemed to be deleted. This means that such provision(s) shall be deemed severable and will not affect the validity and/or enforceability of the remaining provisions of the Terms, which will remain in full force and effect.

26. SURVIVAL

You acknowledge that Your representations, undertakings, and warranties and the clauses relating to indemnities, limitation of liability, grant of license, governing law, confidentiality shall survive the efflux of time and the termination of these Terms.

27. NO WAIVER

No waiver of any provision of these Terms and/or any part thereof will be deemed a further or continuing waiver of such term or any other term, and failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

28. RELATIONSHIP BETWEEN PARTIES

You hereby agree and acknowledge that these Terms in no way, either implicitly or explicitly, creates any joint venture, partnership, employment, agency relationship, or any other commercial-business relationship of any manner whatsoever between you and the Company.

29. ENTIRE AGREEMENT

These present Terms, together with our other Policies and resources, attachments, amendments, annexure, and schedules, if any, constitutes the complete and exclusive understanding with respect to the subject matter, i.e. Your use of the Platform and constitute the entire agreement between you and us, and supersede any prior agreement between you and us. Any modifications to these Terms shall be made in writing and duly notified.

30. THIRD PARTY RIGHTS

These present Terms are not intended to give rights to anyone except you and us. This does not affect our right to transfer our rights or obligations to a third party as described in the Assignment clause above.

31. CONSENT OF COMMUNICATION

During the time of registration, the Company allows the User to opt-in / consent to receive communications and updates which are promotional in nature. Non-acceptance / refusal to opt-in for such communications / updates, will not materially impact the Services, however, we strongly recommend that you continue to receive information from our end to stay updated with respect to our Services’ latest features. Upon the acceptance of the same, you give unequivocal consent to receive such communications, notifications and updates from us via emails and/or text messages (including WhatsApp, as may be applicable). Notwithstanding anything contained herein, your usage of our Services is made possible through user identification methods that require you to share your email address for authentication and in doing so, you agree and explicitly consent to us using your information to send you non-promotional updates and information regarding the Platform and/or Services including without limitation any updates to these Terms, Privacy Policy or any other terms of Services. In case you have opted to receive any communications, notifications or updates which are promotional in nature, you have the right to discontinue from receiving such promotional or marketing communication / updates by using the unsubscribe link in any such communication, or by writing to us at hello@stagefront.in.

32. FEEDBACKS

We always love to hear from our Users, but you are not required to provide us with feedback. If you do provide feedback or suggestions to us, we may use your feedback and suggestions without compensating you, and without any restriction or obligation to you. You agree that we will own all rights in any materials or other items that we develop based on your feedback or suggestions.

33. TECHNICAL FAILURES

It is possible that You may face disruptions, including, but not limited to errors, disconnections or interferences in communication in the internet services, software or hardware that You have used to avail our Platform and/or Services. The Company is not responsible for such factors in the disruption or interruption in the Services and You take full responsibility with complete knowledge for any risk of loss or damages caused due to interruption of Services for any such reasons.

34. GOVERNING LAW AND JURISDICTION

Any disputes that arise shall be promptly resolved through mutual discussion or negotiation, wherever necessary if the same is not resolved unilaterally through our Terms and/or Policies, within 30 (thirty) days from the day the dispute arises. In case the dispute does not get resolved within the stipulated time, these Terms and any non-contractual obligations or liabilities arising out of or in connection with the performance of these Terms including all allied policies and resources, shall be governed by, enforced, and construed in accordance with the laws of India and the courts of Mumbai, India shall have exclusive jurisdiction to resolve any dispute which may arise and you irrevocably agree to submit to the jurisdiction of the courts in Mumbai. Notwithstanding anything contained herein the Company at its sole discretion shall have a right to refer/bring any proceedings or disputes before any competent forum and you shall submit to the jurisdiction of such forum.
